Lease of Boeing 737-400 and ATR-72 from Thai Airways International Public Company Limited
Thai Airways International Public Company Limited (“the Company/THAI”) held the Board Meeting No. 14/2005 on Wednesday, November 2, 2005, at the Conference Room, 22nd Floor, Head Office Building, No. 89 Vibhavadi Rangsit Road, Khwaeng Jompol, Khet Chatuchak, Bangkok Metropolis. THAI would like to inform about the connected transaction in relation to aircraft lease as follows:
The meeting has approved to enter into connected transactions between the Company and Sky Asia Company Limited (“Sky Asia”) to lease one Boeing 737-400 and one ATR-72, in order to expand routenet and to replace THAI in certain routes specified by THAI, for yearly to Sky Asia, THAI’s associated company. THAI invest for Baht 195 million or 39 percent of registered capital in Sky Asia. This connected transaction is to support ordinary and usual course of business and the determination of lease fee is base on each aircraft and normal industry practice as THAI charge to other person or business.
