Appointment of Director and Chairman to the Board of Directors of Thai Airways International Public Company Limited

Thai Airways International Public Company Limited (“the Company”) held the Board Meeting No. 4/2005 on March 23, 2005, at the Conference Room, 22^nd Floor, Head Office Building, No. 89 Vibhavadi Rangsit Road, Khwaeng Jompol, Khet Chatuchak, Bangkok Metropolis. Details of the resolutions are as follows :

1.Approval of the appointment of Mr. Prasit Damrongchai, to be the director to the Board of Directors which is to replace Mr. Thanong Bidaya who had resigned from his position, effective from March 23, 2005 onwards. 

2.Approval of the appointment of the Chairman and the First Vice Chairman as follows :

2.1 Mr. Wanchai Sarathulthat as the Chairman

2.2 Air Chief Marshal Kongsak Vantana as the First Vice Chairman

Effective from March 23,2005 onwards

3.After the new appointment, the 15 new Board of Directors of the Company are as follows :

4.Authorized Directors shall be either Mr. Wanchai Sarathulthat, the Chairman, and one other director jointly sign their names together with the affixation of the Company’s common seal, or three directors jointly sign their names together with the affixation of the Company’s common seal.

5.Approval of the appointment of Police General Nopadol Somboonsub and  Mr. Prasit Damrongchai, to be an additional Independent Director. After the new appointment, the new Independent  Committee of the Company are as follows :
