Notification of the 2nd exercise of type-one warrant (THAI-WA) under the Employee Securities Option Plan of Thai Airways International Public Company Limited

We refer to Thai Airways International Public Company Limited (“the Company”) issued 154,650 units of type-one warrant (THAI-WA), with exercise ratio being 1:1 exercise price being 15 Baht per units, and exercise every 3 months thereafter.The first exercise was on October 4, 2004 and the last exercise will be on April 2, 2007,as per reference. The Company would like to inform the 2nd exercise of type-one warrant (THAI-WA) on January 5, 2005 as follows:

  1. There are 5 employees who have exercised the  2nd type warrant (THAI-WA) 3,350 shares at 15 Baht per share, totaling to 50,250 Baht. And the 16,400 units of type-one warrant (THAI-WA) have not yet been exercised.
  2. Combining the subscription of ordinary shares and the 1st exercise of type-one warrant (THAI-WA), there are 21,367 employees who have received 7,079,550 shares, at 15 Baht per share, totaling to 106,193,250 Baht.
  3. The Company has already registered the increase capital to the Ministry of Commerce from 16,920,762,000 Baht to 16,920,795,500 Baht on January 13, 2005.
  4. The Company has set the next subscription and exercise period as follows:
    1. The  2nd subscription period of ordinary shares will be made on March 28 – April 1, 2005.
    2. The 3rd exercise period of type-one warrant (THAI-WA) and the 1st exercise period of type-two warrant (THAI-WB) will be made on March 28 – April 1, 2005 and exercise date on April 4, 2005.
